The Board of Trustees of Miami Township, Clermont County, Ohio met
in regular session at the Miami Township Civic Building on July 18,
2006 with the following members present: Edwin H. Humphrey, Ken Tracy
and Mary Makley Wolff.
MRS. WOLFF made a motion to adopt the following Resolution:
RESOLUTION AUTHORIZING THE ISSUANCE AND SALE OF NOT TO EXCEED $1,050,000 VARIOUS PURPOSE LIMITED TAX GENERAL OBLIGATION BONDS, SERIES 2006, DISPENSING WITH THE SECOND READING
WHEREAS, this Board of Trustee (the "Board") of Miami
Township, Ohio (the "Township") has previously passed two
separate bond resolutions numbered 2006-24 (as amended by Resolution
2006-42) and 2006-43, inclusive (the "Bond Resolutions"),
which such resolutions authorized two separate bond issues of the
Township (collectively, "the Bonds"), to pay the cost of (i)
acquiring four ambulances for use by the fire department; (ii)
constructing road improvements to various roads in the township; (iii)
paying permissible costs of issuance; and
WHEREAS, this Board desires to consolidate the two issues into a
single issue to achieve certain costs savings.
NOW, THEREFORE, BE IT RESOLVED by the Board of Township Trustees of
Miami Township, County of Clermont (the "Township"), Ohio:
SECTION 1. That, pursuant to the provisions of Section 133.30, O.R.C.,
the two separate bond issues shall be consolidated into a single issue
of the Township's bonds which shall be known as "Various Purpose
Limited Tax General Obligation Bonds, Series 2006", (the
"Consolidated Bonds").
SECTION 2. That the Consolidated Bonds shall bear interest at such
rates, and have maturities or principal payments consistent with the
interest rates on and the aggregate of the periodic maturities or
principal payments of the Bonds.
SECTION 3. That the proceeds of the sale of the Consolidated Bonds
shall be apportioned, deposited and credited in accordance with the
amount of each of the issues of the Consolidated Bonds authorized by
the Bond Resolutions.
SECTION 4. That the Fiscal Officer of this Board of Township Trustees
is hereby directed to forward a certified copy of this resolution to
the County Auditor of Clermont County.
SECTION 5. The Board does hereby dispense with the requirement that
this Resolution be read on two separate days, pursuant to Section
504.10 of the Ohio Revised Code, and authorizes the adoption of this
Resolution upon its first reading.
SECTION 6. That this Board hereby finds and determines that all formal actions relative to the passage of this Resolution were taken in an open meeting of this Board, and that all deliberations of this Board and of its Committees, if any, which resulted in formal action, were taken in meetings open to the public, in full compliance with applicable legal requirements, including Section 121.22 of the Ohio Revised Code.
SECTION 7. This Resolution shall take effect at the earliest period allowed by law.
